Allbirds appreciates the partnership and trust of its wholesale partners and values the shared commitment to building a brand focused on quality, responsibility, and long-term growth. These terms outline the expectations and responsibilities that apply when purchasing and selling Allbirds products and are intended to ensure consistency, brand integrity, and legal compliance across all wholesale relationships.

When a wholesale partner places an order for Allbirds products or accepts delivery, it signifies full agreement with these sales terms. Products are sold strictly for resale to final retail consumers through approved physical retail locations. Wholesale partners are not permitted to resell products to other wholesalers, distributors, or third parties without explicit written authorization. Online sales, digital advertising, and resale through third-party marketplaces or platforms are not allowed unless a separate written agreement is in place. Products may only be sold within the country of purchase and may not be exported, transshipped, or redirected to other territories, including regions where Allbirds maintains exclusive distribution arrangements or areas subject to international trade sanctions.

Allbirds expects its partners to comply with all applicable trade, export, and sanctions regulations. Wholesale partners confirm that neither they nor their affiliated entities or personnel are located in restricted regions or identified as sanctioned or restricted parties. Any violation of these requirements, or any change in status that affects compliance, may result in immediate order cancellation or account termination.

All orders are governed solely by Allbirds’ sales terms, regardless of any conflicting terms included in purchase orders or other documents issued by the buyer. Allbirds retains the right to approve, reject, modify, or cancel orders based on inventory availability, credit status, or compliance concerns. Orders may be shipped earlier than requested delivery dates within reasonable limits, and backorders that exceed defined timeframes may be automatically canceled. Pricing, discounts, and product availability may change without notice, and Allbirds reserves the right to discontinue products or collections at its discretion.

Wholesale partners are required to maintain good financial standing. Allbirds may require advance payment, credit review, or financial documentation prior to shipment if deemed necessary. Standard payment terms are net sixty days, subject to approval. Past-due accounts may incur finance charges and will not receive additional shipments until balances are resolved.

Shipping is conducted under standard commercial terms using designated carriers and distribution centers. Packaging is standardized, and any issues related to shipment discrepancies or damage must be reported promptly. Products are considered accepted if claims are not submitted within the specified timeframe. Returns are only permitted with prior written authorization, and Allbirds may, at its discretion, repurchase unsold inventory following account termination.

Wholesale partners may not alter, repair, or modify products unless expressly authorized. Allbirds provides limited warranties directly to end consumers and disclaims additional warranties to wholesale buyers beyond those required by law. Liability is limited strictly to the purchase price of the products, and Allbirds is not responsible for indirect or consequential damages.

Allbirds grants wholesale partners a limited, revocable license to use its trademarks and marketing materials solely for the purpose of selling approved products in accordance with brand guidelines. All intellectual property remains the exclusive property of Allbirds. Unauthorized use, modification, or misrepresentation of brand assets is prohibited.

Disputes arising from these terms are governed by California law and are subject to structured resolution processes, including mediation, arbitration, or litigation in designated venues. Allbirds reserves the right to seek immediate injunctive relief when necessary to protect its intellectual property or confidential information.

Nothing in these terms creates a franchise, partnership, or agency relationship. Wholesale partners agree to indemnify Allbirds against claims arising from negligence, misconduct, or noncompliance with these terms. Allbirds may update or amend these terms periodically, and continued ordering constitutes acceptance of any revisions.

Through these standards, Allbirds seeks to protect its brand, ensure fair and lawful commerce, and foster mutually beneficial relationships with partners who share its commitment to integrity, sustainability, and customer experience.
